OFFICIAL RULES

1. Sponsor

The sponsor is Roast Republic LLC (“Sponsor”).

2. Promotion Period

The promotion begins October 13, 2026, and ends April 13, 2027, at 8:00 PM Pacific Time (“Promotion Period”), unless otherwise specified in the final approved rules.

Entries must be received by the deadline. Entries received after the deadline will not be eligible.

3. Eligibility

The promotion is open to individuals who are at least 18 years old at the time of entry and who legally reside in eligible jurisdictions within the United States.

The promotion is void where prohibited or restricted by law.

Employees, officers, directors, and other individuals associated with the Sponsor or promotion administrator, as well as their immediate family members and household members, may be excluded as specified in the final rules.

Eligible jurisdictions and any excluded states or territories where ever in prohibited.

4. How to Enter

Eligible individuals may enter using the entry methods approved and described in the final Official Rules.

Free entry: No purchase is necessary to enter or win. Instructions for the free method of entry will be provided here before the promotion opens. The free method must comply with applicable law.

Proposed purchase entry: The Sponsor is considering offering one entry for each $1 spent on eligible entries. This option is not authorized for launch until the Sponsor has confirmed that the entry structure and free alternative comply with all applicable laws.

Following, liking, commenting on, or sharing Sponsor content on Facebook, Instagram, or TikTok does not automatically constitute a valid entry unless the final rules expressly authorize that action and explain how the entry is recorded.

Limitations on entries, including any maximum number per person, will be specified in the final rules.

5. Prize

One eligible winner will receive the winner's choice of:

• One yellow 2007 Ducati 1098 motorcycle, described by the Sponsor as one of 200 made for the U.S. market; or

• $20,000 in cash.

The final rules will specify the motorcycle's verified condition, vehicle identification and title information, applicable mileage, and the method of transfer.

The motorcycle's approximate retail value and the cash alternative must be verified before launch. The final rules will state the confirmed prize value.

The winner is responsible for applicable taxes and other expenses not expressly included in the prize. Taxes must be paid to the appropriate government authority. Registration, title transfer, transportation, insurance, and licensing expenses will be allocated as stated in the final rules.

No substitution or transfer of a prize is permitted except as expressly provided in the final rules or required by law.

6. Winner Selection

One potential winner will be selected by a random drawing from all eligible entries received during the Promotion Period, using the selection procedure established in the final rules.

The Sponsor will notify the potential winner using the contact information provided at entry.

The potential winner must respond within [3 days] and satisfy all eligibility, verification, and documentation requirements. If the potential winner cannot be contacted, is ineligible, or fails to meet the requirements, an alternate winner may be selected as permitted by law.

The winner does not need to be present at the drawing.

7. Odds of Winning

The odds of winning depend on the total number of eligible entries received during the Promotion Period.

8. Publicity and Marketing

Subject to applicable law, the winner may be asked to participate in reasonable promotional activities relating to the prize and the promotion.

Any use of the winner's name, likeness, image, voice, statements, or submitted content for future Roast Republic marketing will be subject to applicable law and any required authorization. The final rules will explain the scope of any publicity release.

9. Taxes

The winner is solely responsible for all applicable federal, state, and local taxes arising from acceptance or use of the prize, as well as any required tax reporting.

The Sponsor may require appropriate tax documentation before transferring the prize.

10. General Conditions

The Sponsor reserves the right to disqualify fraudulent, incomplete, or otherwise ineligible entries and to address technical problems, abuse, or circumstances affecting the fair administration of the promotion in accordance with applicable law.

Nothing in these rules authorizes the Sponsor to change the promotion arbitrarily or to deprive a winner of an awarded prize.

By participating, entrants agree to the final Official Rules and applicable law.

11. Privacy

Information collected in connection with the promotion will be handled in accordance with the Sponsor's Privacy Policy.

Marketing subscriptions, where offered, should be addressed separately from contest entry and handled in accordance with applicable consent requirements.

12. Release of Social Media Platforms

This promotion is not sponsored, endorsed, administered by, or associated with Facebook, Instagram, or TikTok.

Participants release those platforms from responsibility for this promotion to the extent permitted by applicable law. Each platform's applicable promotion rules must also be followed.

13. Winner List

14. Governing Law

The promotion is subject to applicable federal, state, and local laws. The final rules will identify the governing law and any additional jurisdiction-specific terms required for the promotion.
